Chi phí trước khi thành lập doanh nghiệp có được tính là chi phí hợp lý không

Những khoản chi phí phát sinh trước khi thành lập doanh nghiệp có được khấu trừ và đưa vào chi phí hợp lý khi tính thuế TNDN không? Trong bài viết dưới đây, Kế toán Hải Dương sẽ giải đáp cho bạn đọc về vấn đề này.

Chi phí trước khi thành lập doanh nghiệp có được khấu trừ thuế

Chi phí trước khi thành lập doanh nghiệp được khấu trừ thuế GTGT, thuế TNDN khi đáp ứng đủ các điều kiện được quy định dưới đây:

Theo khoản 12 điều 14 Thông tư 219/2013/TT-BTC quy định về thuế GTGT

“12.Cơ sở kinh doanh được kê khai, khấu trừ thuế GTGT của hàng hóa, dịch vụ mua vào hình thức ủy quyền cho tổ chức, cá nhân khác mà hóa đơn mang tên tổ chức, cá nhân được ủy quyền bao gồm các trường hợp sau đây:

  1. b) Trước khi thành lập doanh nghiệp, các sáng lập viên có văn bản ủy quyền cho tổ chức, cá nhân thực hiện chi hộ một số khoản chi phí liên quan đến việc thành lập doanh nghiệp, mua sắm hàng hóa, vật tư thì doanh nghiệp được kê khai, khấu trừ thuế GTGT đầu vào theo hóa đơn GTGT đứng tên tổ chức, cá nhân được ủy quyền và phải thực hiện thanh toán cho tổ chức, cá nhân được ủy quyền qua ngân hàng đối với những hóa đơn có giá trị từ hai mươi triệu đồng trở lên”

Căn cứ theo điều 4 Thông tư 96/2015/TT-BTC quy định về chi phí khi tính thuế TNDN:

1.Các khoản chi không được trừ nêu tại Khoản 2 Điều này, doanh nghiệp được trừ mọi khoản chi nếu đáp ứng các điều kiện sau:

a)Khoản chi thực tế phát sinh liên quan đến hoạt động sản xuất, kinh doanh của doanh nghiệp

b)Khoản chi có đủ hóa đơn, chứng từ hợp pháp theo quy định của pháp luật

c)Khoản chi nếu có hóa đơn mua hàng hóa, dịch vụ từng lần có giá trị từ 20 triệu đồng trở lên (giá đã bao gồm thuế GTGT) khi thanh toán phải có chứng từ thanh toán không dùng tiền mặt”

Căn cứ khoản 3 Điều 3 Thông tư số 45/2013/TT-BTC ngày 25/4/2013 của Bộ Tài chính hướng dẫn chế độ quản lý, sử dụng và trích khấu hao tài sản cố định hướng dẫn:

“3.Chi phí thành lập doanh nghiệp, chi phí đào tạo nhân viên, chi phí quảng cáo phát sinh trước khi thành lập doanh nghiệp, chi phí cho giai đoạn nghiên cứu, chi phí chuyển dịch địa điểm, chi phí mua để có và sử dụng các tài liệu kỹ thuật, bằng sáng chế, giấy phép chuyển giao công nghệ, nhãn hiệu thương mại, lợi thế kinh doanh không phải là tài sản cố định vô hình mà được phân bổ dần vào chi phí kinh doanh của doanh nghiệp trong thời gian tối đa không quá 3 năm theo quy định của Luật thuế TNDN”

-Theo hướng dẫn nêu trên thì trước khi thành lập doanh nghiệp, các sáng lập viên của doanh nghiệp có văn bản ủy quyền cho bên thứ ba thực hiện chi hộ một số khoản chi phí liên quan đến việc thành lập doanh nghiệp, mua sắm hàng hóa, vật tư thì các đơn mua hàng mang tên tổ chức, cá nhân được ủy quyền, doanh nghiệp không phải điều chỉnh hóa đơn và được coi là chứng từ hợp lý, hợp lệ để hạch toán vào chi phí hợp lý được trừ khi xác định thu nhập chịu thuế thu nhập cá nhân nếu các hóa đơn này đáp ứng đủ điều kiện nêu trên.

-Doanh nghiệp được kê khai, khấu trừ thuế giá trị gia tăng đầu vào theo các hóa đơn giá trị gia tăng đứng tên tổ chức/cá nhân được ủy quyền. Doanh nghiệp phải thực hiện thanh toán cho tổ chức, cá nhân được ủy quyền qua ngân hàng đối với những hóa đơn có giá trị từ hai mươi triệu đồng trở lên.
